Terms of Service

1. Acceptance of Terms

These Terms of Service (“Terms”) govern your access to and use of StoreIQ, a Shopify application operated by Flarex (“Flarex,” “we,” “us,” or “our”). By installing, accessing, or using StoreIQ, you agree to these Terms on behalf of yourself and the business entity you represent (collectively, “you” or “Merchant”).

If you do not agree, do not use StoreIQ. Your use of Shopify is also subject to Shopify’s applicable terms, policies, and requirements.

2. Description of Service

StoreIQ connects to your Shopify store to read order, product, inventory, and related store information you authorize, and to generate analytics, revenue insights, and AI-assisted optimization recommendations intended to help you improve store performance.

StoreIQ may send limited store data to trusted AI processing providers solely to generate merchant-facing insights and recommendations within the Service. We process data to provide the Service to you—not to sell your data or to run third-party advertising for unrelated products or services.

Features, outputs, and availability may change as we improve the Service.

3. Merchant Responsibilities

You are responsible for:

  • Maintaining the security of your Shopify account and any credentials associated with your store.
  • Ensuring you have all rights and permissions needed to connect StoreIQ to your store and to process data as described in our Privacy Policy.
  • Complying with applicable laws and regulations relating to your store, products, customers, and data (including privacy and marketing laws, where applicable).
  • Evaluating and deciding whether to act on insights, recommendations, or analytics provided by StoreIQ. You remain solely responsible for business, pricing, inventory, fulfillment, tax, and compliance decisions.

4. Billing and Subscription Terms

StoreIQ may be offered under subscription plans or usage-based pricing as presented in the Shopify App Store listing or within the Service at the time you subscribe.

  • Shopify billing: Where billing is enabled through Shopify, charges may be processed by Shopify in accordance with Shopify’s billing terms and your Shopify account settings.
  • Plan changes: We may change pricing, plans, or features with reasonable advance notice as permitted by Shopify and applicable law. If a change materially affects your subscription, we will describe the change and its effective date in the Service, the App Store listing, or by other reasonable notice.
  • Taxes: Fees may be stated exclusive of taxes. You are responsible for applicable taxes except where Flarex is required to collect them.
  • Trials and promotions: If offered, trials and promotions are subject to the terms displayed at enrollment and may convert to paid plans unless cancelled as instructed.

5. Acceptable Use

You agree not to:

  • Use StoreIQ in violation of law, Shopify policies, or these Terms.
  • Attempt to gain unauthorized access to the Service, other merchants’ data, or our systems or vendors.
  • Interfere with or disrupt the Service, impose an unreasonable load, or circumvent security or access controls.
  • Reverse engineer, scrape, or copy the Service except to the extent permitted by applicable law.
  • Use the Service to build a competing product using our proprietary materials, or misrepresent the origin of insights or outputs.

We may investigate suspected misuse and may suspend or terminate access where reasonably necessary to protect the Service, merchants, or third parties.

6. Intellectual Property

Flarex and its licensors own all rights, title, and interest in and to StoreIQ, including software, branding, documentation, and content we provide (excluding your store data).

You retain your rights in your store data. You grant Flarex a limited license to host, process, transmit, and display your data solely to provide and improve the Service, consistent with our Privacy Policy.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use StoreIQ for your internal business purposes during your subscription.

7. Service Availability

We strive to keep StoreIQ available, but we do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable for maintenance, updates, security incidents, third-party dependencies (including Shopify or hosting providers), or events outside our reasonable control.

8. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, STOREIQ IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

AI-GENERATED INSIGHTS AND RECOMMENDATIONS MAY BE INACCURATE, INCOMPLETE, OR NOT SUITABLE FOR YOUR CIRCUMSTANCES. YOU ARE RESPONSIBLE FOR VERIFYING RESULTS AND FOR ANY ACTIONS YOU TAKE BASED ON THE SERVICE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL FLAREX OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FLAREX’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO FLAREX FOR STOREIQ IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100), IF YOU HAVE NOT HAD A PAYMENT OBLIGATION.

SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE JURISDICTIONS, FLAREX’S LIABILITY WILL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

10. Termination

You may stop using StoreIQ at any time by uninstalling the app from your Shopify admin. We may suspend or terminate access to the Service if you violate these Terms, if required by Shopify or law, or if we discontinue the Service with reasonable notice where practicable.

Upon termination, your right to use StoreIQ ceases. Provisions that by their nature should survive (including intellectual property, disclaimers, limitation of liability, governing law, and dispute-related terms) will survive.

11. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, excluding conflict-of-law principles that would require applying another jurisdiction’s laws.

Subject to applicable law, you agree that the courts located in Ontario, Canada will have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Service, except where prohibited by law.

These Terms constitute the entire agreement between you and Flarex regarding StoreIQ and supersede prior understandings on the same subject. If any provision is found unenforceable, the remaining provisions remain in effect. You may not assign these Terms without our consent; we may assign these Terms in connection with a merger, acquisition, or sale of assets. Our failure to enforce a provision is not a waiver.
